1. Scope & Purpose

These General Terms & Conditions ("General Terms") govern all engagements between NiceJourney - Canu & Arienti GbR ("NiceJourney," "we," "us") and our clients ("Client," "you") for Branding, Website, Content & Strategy, and Embedded Team services.

Our services are offered exclusively to businesses acting in a commercial or professional capacity (Unternehmer within the meaning of §14 of the German Civil Code, BGB), not to consumers.

These General Terms form the baseline framework for every engagement. Where a signed proposal, statement of work, or separate written agreement specifies different terms for a specific project, that document takes precedence over these General Terms for the matters it covers.

2. How Contracts Are Formed

No contract is concluded through the NiceJourney website itself. Prices, packages, and service descriptions shown on nicejourney.agency are indicative and do not constitute a binding offer.

An engagement begins when we send you an individual proposal or quote by email. The contract is formed when you accept that proposal — by written confirmation (including email reply), signature, or by completing payment through the payment link (e.g. Stripe) provided to you.

By accepting a proposal, you confirm that you are entering into this agreement as a business, not as a consumer, and that these General Terms apply to the engagement.

3. Services

NiceJourney provides the following services, each scoped individually per client:

• Branding: identity, positioning, and brand strategy work
• Website: design and development of client websites
• Content Strategy: guidelines and editorial calendars to publish content
• Embedded Team: an ongoing subscription-based partnership (see Section 5) for regular content production and strategic support

The specific scope, deliverables, milestones, and timeline for Branding, Website, and Content Strategy engagements are defined in the individual proposal for that project, not exhaustively in these General Terms.

4. Pricing, Invoicing & Payment

• Pricing for project-based work is confirmed in your individual proposal. Pricing for Embedded Team is confirmed at the tier you select at signup and remains fixed for the terms described in Section 5.
• Invoices are issued by email, with payment collected via Stripe or another payment method specified in the invoice.
• Payment is due within 7 days of the invoice date unless otherwise agreed in writing. Late payment may result in suspension of ongoing work or Embedded Team access until the outstanding balance is settled.
• The VAT treatment applicable to your invoice (standard German VAT, EU reverse-charge, or out-of-scope for non-EU clients) is determined based on your business location and stated directly on the invoice — not on the website, since it varies by client. If applicable, please provide your VAT ID (USt-IdNr. / VAT number) when accepting a proposal.

5. Embedded Team Terms

This section governs the Embedded Team subscription specifically.

Free Trial

The Embedded Team trial runs for seven (7) days and includes access to both members of our team, Tommaso Canu and Pamela Arienti. During the trial period, you may request a limited scope of work, such as five to seven (5–7) logo drafts, three to four (3–4) social media posts, or a homepage header design with accompanying copy.

Billing Cycle

Embedded Team is billed monthly in advance, starting from the date your subscription becomes active. Subscriptions renew automatically at the end of each billing period unless cancelled in accordance with this section.

Cancellation

You may cancel your Embedded Team subscription by email notice no more than 10 days before the next billing date. Cancellation takes effect at the end of the current billing period; we do not provide refunds for partial periods already paid.

Scope of Inclusion

Each Embedded Team tier includes the services described on the relevant pricing page at the time of your signup. If we change what's included in a tier, we will notify active subscribers before the change takes effect at their next renewal.

Price Changes

We may adjust Embedded Team pricing with at least 4 weeks notice before it applies to your next renewal. Continued use after that date constitutes acceptance of the new pricing; if you don't agree, you may cancel before the change takes effect.

Non-Payment

If payment fails or is not received by the due date, we may suspend Embedded Team access until the balance is resolved, without liability for any resulting disruption to your work.

6. Client Obligations

To deliver work on schedule, we rely on you to:

• Provide timely feedback, approvals, and any content or materials we request
• Designate a point of contact authorized to approve deliverables on your behalf
• Respond to requests within a reasonable time

Delays on your side may shift agreed timelines accordingly, and we are not responsible for missed deadlines caused by delayed client input.

7. Intellectual Property & Usage Rights

• Upon full payment for a project, ownership of the final agreed deliverables transfers to you, except for any third-party assets, licensed tools, fonts, or stock materials, which remain subject to their own licenses.
• NiceJourney retains ownership of its pre-existing frameworks, tools, templates, and any preliminary concepts or drafts not selected or used in the final deliverable.
• We reserve the right to display completed work (including project screenshots, brand assets, and case study descriptions) in our portfolio, on our website, and in marketing materials, unless you request confidentiality in writing before or at the time of the engagement.

8. Confidentiality

Both parties agree to keep confidential any non-public business information shared during the engagement, and to use it only for purposes of the engagement. This obligation does not apply to information that is already public, independently developed, or required to be disclosed by law.

9. Warranties & Disclaimers

We provide our services with professional skill and care. However, we do not guarantee specific business outcomes, revenue, conversion, or marketing results from branding, website, or content work, as these depend on factors outside our control.

10. Limitation of Liability

Our liability for damages arising from an engagement is limited to the fees paid by you for that specific engagement in the twelve (12) months preceding the claim, except where liability arises from intent or gross negligence, or from injury to life, body, or health, which cannot be limited under German law.

11. Termination

Either party may terminate a project engagement or the Embedded Team subscription as described in Section 5 or in the applicable proposal. Upon termination:

• You will be invoiced for work completed and costs incurred up to the termination date
• We will deliver any completed work product for which payment has been received
• Embedded Team access ends at the close of the current billing period

We may also terminate an engagement with immediate effect if you materially breach these General Terms, including non-payment, and fail to remedy the breach within 30 days of written notice.

12. Governing Law & Jurisdiction

These General Terms and any engagement entered into under them are governed by the laws of the Federal Republic of Germany, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods (CISG).

The place of jurisdiction for any disputes is Dessau-Roßlau, Germany, to the extent permitted by law.

13. Changes to These Terms

We may update these General Terms from time to time. For active Embedded Team subscribers, changes take effect at your next renewal following notice; for project engagements already underway, the terms in effect at the time your proposal was accepted continue to apply unless we agree otherwise in writing.

14. Severability & Contact

If any provision of these General Terms is found invalid or unenforceable, the remaining provisions remain in full effect, and the invalid provision will be replaced with one that most closely reflects its original intent.
